Established in 1789 by Joseph ROSTAING, the company has developed a full range of protective gloves, manufactured by Moroccan and Vietnamese subsidiaries, and traded worldwide by the French group. Jean ROSTAING was until the end of 2014 the Chief Executive Officer, his two sons, Stéphane and Jacques, are both implicated in the company, in France and in Vietnam respectively.
Courted by foreign companies, the Rostaing family was eager to retain its trademark and ensure the survival of the French sites. On the advice of LAMY LEXEL, Stéphane ROSTAING considered taking over, with a division of its activities : on one hand the French and Moroccan production and marketing sites, on the other hand, the Vietnamese sites.
Thus, he leads Rostaing Establishment PLC, through the holding company Rostaing Croissance, and by purchasing the shares, in cash and securities in the Vietnamese subsidiaries. From now on, Jacques Rostaing, alone, manages the activity in Vietnam.
Michel MASOËRO, partner, Isabelle COLLIOT, lawyer, and Mathilde TRANNOY, lawyer, of LAMY LEXEL, have assisted Rostaing Croissance in this restructuring and take-over. This operation required the intervention of several teams of the firm, especially for the tax expertise (analysis of the tax consequences of the plan), in intellectual property (protection of knowledge), and litigation.
