LABOUR LAW

Due diligence, assistance in the transfer of employment contracts, and harmonisation of company bylaws

In the case of a company take-over, all employment contracts must be transferred to the purchaser. Our team specialising in employment law accompanies you during this stage and advises you regarding the obligations relative to the purchaser and any adjustments necessary to meet these obligations (drafting of contracts with the company's key executives, cancellation of the additional guarantees...).

Business LITIGATION AND RESTRUCTURING

Analysis of litigation and assistance in the development of takeover bids before the courts

In order to provide you with a comprehensive vision, our dedicated department will draw up a list of past and current disputes, as well as contracts signed with strategic partners in order to make you fully aware of potential risks.

Acquisition of a struggling company: In the situation where you decide to take over a struggling company that has been placed under receivership, you will need to perform a trade-in offer. Our restructuring team is able to assist you in the development, negotiation and defence of this offer in court. Following acceptance, we will develop, in conjunction with the Corporate Department, legal post-transfer acts.

Finally, our team assists you in any litigation that may arise after the acquisition, challenges concerning guarantee of assets/liabilities, challenges to the sale price, breakdown of negotiations, conflicts between acquirers etc.
