LAMY LEXEL assists BOIRON’s family shareholders

With the assistance of LAMY LEXEL Avocats Associés, BOIRON’s family shareholders have transferred their majority shareholding to Boiron Développement, which will launch a simplified takeover bid (OPAS) for BOIRON SA’s shares, with the aim of delisting the company.

The BOIRON family council, with the support of the teams at LAMY LEXEL Avocats Associés in its strategic thinking on the development of the Family Group, has initiated the transfer of all BOIRON shares, held directly or indirectly by the family shareholders, to BOIRON DEVELOPPEMENT. The latter will launch a simplified takeover bid for BOIRON SA’s shares, which may be followed by a delisting.

The family shareholders owned 69.9% of BOIRON, the world’s leading homeopathic pharmaceutical company. This transfer of majority shareholding was accompanied by:

  • the reinvestment of 70% of the share capital and voting rights by the family shareholders,
  • EW Healthcare Partners’ acquisition of approximately 25% of BOIRON DEVELOPPEMENT’s share capital and voting rights,
  • and the reinvestment of approximately 5% of the share capital and voting rights by FCPE Boiron.

 

BOIRON's share is valued at €50 (€39.64 per share, with a special dividend of €10.36) and the Group at approximately €875 M.
