Founded in 1986 TIME Sport International has about 80 employees with an estimated turnover of about 12 million euros. The company built its reputation and markets on products that are innovative and high end, such as the pedals and carbon fiber frames. A continuous technological evolution and one of the lightest equipment led them to equip world-class professional cyclists such as Jeannie Longo, Greg Lemond, Pedro Delgado, Stephen Roche, Laurent Fignon, Jan Ullrich and even Tom Boonen.
However in 2012, a difficult diversification strategy on the wheel market (for cycles) led the company to a safeguard plan. At that time, the plan was supported by lawyers from LAMY LEXEL specialized in counseling companies facing difficulties and in particular Édouard BERTRAND partner in the Restructuring department. At the end of 2014, another blow hit the company with the sudden death of the CEO, Mr Roland CATTIN.
In 2015, Julia CATTIN turned to LAMY LEXEL once again to arrange the sale of TIME shares to ROSSIGNOL. Thus, a dedicated team was instantly created, managed by Frédéric DUPONT and Stéphanie LAVARDA for the corporate and mergers & acquisitions aspects, by Edouard BERTRAND for the restructuring aspects and also Béatrice CHAINE and Camille LENOBLE for the social aspects.
Originally requested to draft the acts of a SPA (Share Purchase Agreement), LAMY LEXEL team, in view of the complexity of the subject matter due to the poor financial situation of TIME, quickly took part in the negotiations and participated in the coordination of exchanges between Rossignol, Mr. SAPIN (provisional administrator appointed after the death of Mr. CATTIN), as a well as various TIME creditors (banks, public bodies) came to the signature of the sale proposal in December 2015. All in an international dimension since, on the one hand, the sale also concerned the shares of a company established in Slovakia and, on the other hand, TIME had a subsidiary in California.
